Qualification:
CAJob Description:
•Sound understanding of basic provisions of transaction related laws such as income-tax and company laws, international tax laws. Knowledge of other regulatory laws such as FEMA, IBC, SEBI would be added advantage.
•Ability to identify issues based on review of various transactional information / documents / agreements such as Scheme of Arrangement, Share Purchase Agreement etc
•Ability to undertake research and analysis of transaction tax related laws (such as domestic and international tax, corporate laws, SEBI, FEMA, Competition Act, stamp duty laws etc.) on inbound and outbound deals, corporate reorganizations, securities market aspects, etc.
•Identifying, highlighting and quantifying material historical and potential tax exposures / benefits and issues involving risk of the acquiring the target.
•Perform direct tax diligence (this involves scrutinizing past tax issues, record, compliance, etc. of the target) and capture the facts and analysis in a diligence report
•Transaction structuring from a tax and regulatory perspective, preparing integration schemes, co-ordination with various teams, review of schemes / transaction documents related to the afore mentioned structuring, implementation and compliance
•Outbound and Inbound structuring: Evolving optimal ownership / investment/ funding structures for investment in specified jurisdictions and in India from tax and regulatory efficiency perspective. Analysis of respective DTAAs between India and specified jurisdictions and high-level analysis of corporate laws of such specified jurisdictions
•Knowledge of MS office and other processes and tools to achieve work efficiency.
•Be updated on latest developments and share articles on industry trends

Responsible for coaching and guiding the team members on the assignments handled
• Regularly be approached by members of the firm to assist in resolving people issues
• Positive attitude and responsible and ability to handle pressure
