CS/LLB with minimum 2-6 years of experience in handling M&A.
In depth knowledge about Corporate Law, Stamp Duties, IBC, FEMA regulations.
Working knowledge of other acts and processes such as NCLT, RBI, Ministry of Corporate Affair, Labour Laws, etc. is advantageous.
Must have hands on experience in researching and analysing the legal articles, judgements, etc.
Familiarity with accounting and valuation.
Job Description :
Responsible for assisting the partner in M&A regulatory matters, which includes:
Assist the partners in the transactions, from origination pitch stage to transaction execution and transaction closure.
Advice & assist in various issues of Corporate Law, Stamp Duties, IBC, FEMA regulations.
Secretarial advisory and assistance on various company law matters such as formation of company and various other entities, maintenance of secretarial records, e-filing of forms with MCA.
Support in preparing the research papers and for representation before the regulatory authorities.
Conduct review of data provided by the client such as financial statements, Direct-Indirect taxation, history of the company and management’s objectives of restructuring of the company.
Assist the partner in final deliverables such as preparing drafts for Scheme, applications, petitions and documentation.
Analyse reports related to taxation, valuation, documents pertaining to appeals and litigation, etc. and summarize the same.
Prepare option papers, customized as per the requirements for the clients.
Research the related articles and judgements (from various sources) as per the requirements and prepare abstracts.
In case of legal aspects/litigation, assist the Partners in hearings with the concerned regulatory authorities.
Responsible for maintaining accurate filing, documentation and correspondence with the clients.
Create presentation for clients.
