Job Summary:
As a Company Secretary, you will be responsible for ensuring the efficient administration of the company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented.
Responsibilities:
1. Corporate Governance: Ensure compliance with all statutory and regulatory requirements applicable to the company and its operations, including maintaining records, filing necessary documents, and advising the board on governance matters.
2. Board Support: Organize and attend board meetings, including preparing agendas, taking minutes, and ensuring that decisions taken at meetings are implemented.
3. Legal Compliance: Keep abreast of changes in relevant legislation and regulatory requirements and ensure that the company complies with them.
4. Communication: Serve as the primary point of contact for communication between the board of directors, management, shareholders, regulatory authorities, and other stakeholders.
5. Record Keeping: Maintain and update statutory books and records, including registers of members, directors, and shareholders.
6. Filing and Reporting: Ensure that all necessary filings and reports are completed accurately and submitted to relevant authorities on time.
7. Advisory Role: Provide advice to the board of directors on governance matters, legal issues, and compliance requirements.
8. Risk Management: Identify potential areas of risk for the company and develop strategies to mitigate them.
9. Annual General Meeting (AGM): Organize and facilitate the company's AGM, including preparing notices, agendas, and other necessary documentation.

Qualifications and Skills:
- Bachelor's degree in Business Administration, Law, or related field.
- Qualified Company Secretary (e.g., ICSA qualification) preferred.
- Previous experience working as a company secretary or in a similar role, preferably in the real estate industry.
- Excellent knowledge of corporate governance principles, statutory regulations, and compliance requirements.
- Strong organizational and administrative skills, with meticulous attention to detail.
- Excellent communication and interpersonal skills, with the ability to liaise effectively with stakeholders at all levels.
- Ability to work independently and make decisions in a fast-paced environment.
- Proficiency in relevant software applications, such as Microsoft Office Suite and corporate governance software.
