About the Role

We are looking for a Financial Due Diligence professional to lead and execute buy-side and sell-side due diligence engagements for our M&A, PE, and VC clients. You will work closely with the Partners on deal execution, financial analysis, and client presentations.

Key Responsibilities

• Lead financial due diligence assignments (buy-side/sell-side) for M&A, PE/VC investments, and strategic transactions
• Analyze historical financial statements, quality of earnings (QoE), working capital trends, and net debt positions
• Identify red flags, normalize EBITDA, and assess sustainability of earnings
• Review management accounts, tax filings, and statutory records for consistency and accuracy
• Prepare detailed due diligence reports, exception summaries, and management presentations
• Coordinate with target company management for data requests (DD checklist / data room management)
• Liaise with legal, tax, and valuation teams for integrated deal support
• Assist in structuring SPAs / deal terms based on DD findings (working capital adjustments, indemnities, escrow)
• Manage engagement timelines, client communication, and junior team members

Skills:

• Qualified CA / semi-qualified CA with relevant experience / MBA Finance / CFA
• 1–3 years in financial due diligence, transaction advisory, or mid-size audit & assurance with DD exposure
• Strong understanding of Ind AS / IGAAP, financial modeling, and ratio analysis
• Proficiency in Excel, PowerPoint; working knowledge of Power BI / data analytics tools is a plus
• Excellent report writing and client communication skills
• Ability to work independently and manage multiple engagements simultaneously
