Job Description:

Key Responsibilities

Statutory Compliance & Secretarial Work

  • Ensure compliance with Companies Act, 2013, SEBI regulations, FEMA, and other applicable laws
  • Maintain and update statutory registers, records, and ROC filings (MCA)
  • Draft board resolutions, notices, and minutes (Board, AGM, EGM, Committee meetings)
  • Manage annual filings, returns, and forms with MCA and other authorities

 

Board & Committee Support

  • Organize Board Meetings, AGMs, EGMs, and committee meetings as per legal timelines
  • Prepare agenda, notices, and resolutions
  • Draft and circulate minutes of meetings and track action points

 

Legal & Regulatory Affairs

  • Liaise with regulatory authorities such as ROC, MCA, SEBI, RBI
  • Ensure company policies align with latest legal and regulatory updates
  • Assist in legal drafting, contract review, and documentation

 

Corporate Governance

  • Advise management and Board on corporate governance practices, especially for listed entities
  • Ensure compliance with SEBI (LODR) Regulations and governance norms
  • Maintain confidentiality and transparency in handling sensitive matters
  • Identify and mitigate legal and compliance risks

Skills:

Key Requirements

  • Qualified Company Secretary (CS) (Full-time)
  • Minimum 2+ years of relevant experience (2–7 years preferred)
  • Strong knowledge of Companies Act, SEBI regulations (LODR), FEMA, and corporate laws
  • Excellent drafting, communication, and organizational skills
  • Proficiency in MS Office and MCA21 portal
  • Ability to work with senior management and manage multiple priorities
