Key Responsibilities
Statutory Compliance & Secretarial Work
- Ensure compliance with Companies
Act, 2013, SEBI regulations, FEMA, and other applicable laws
- Maintain and update statutory
registers, records, and ROC filings (MCA)
- Draft board resolutions,
notices, and minutes (Board, AGM, EGM, Committee meetings)
- Manage annual filings,
returns, and forms with MCA and other authorities
Board & Committee Support
- Organize Board Meetings,
AGMs, EGMs, and committee meetings as per legal timelines
- Prepare agenda, notices,
and resolutions
- Draft and circulate minutes
of meetings and track action points
Legal & Regulatory Affairs
- Liaise with regulatory
authorities such as ROC, MCA, SEBI, RBI
- Ensure company policies
align with latest legal and regulatory updates
- Assist in legal drafting,
contract review, and documentation
Corporate Governance
- Advise management and Board
on corporate governance practices, especially for listed entities
- Ensure compliance with SEBI
(LODR) Regulations and governance norms
- Maintain confidentiality
and transparency in handling sensitive matters
- Identify and mitigate legal
and compliance risks
Skills:
Key Requirements
- Qualified Company
Secretary (CS) (Full-time)
- Minimum 2+ years of
relevant experience (2–7 years preferred)
- Strong knowledge of Companies
Act, SEBI regulations (LODR), FEMA, and corporate laws
- Excellent drafting,
communication, and organizational skills
- Proficiency in MS Office
and MCA21 portal
- Ability to work with senior
management and manage multiple priorities
