Job Description:

1.       Preparation of documents for Private Placement of Debentures in Debt listed company and setting up EBP for eligible bids.

2.       Handling SEBI compliances (Stock exchange compliances – BSE) for debt listed entity as Compliance officer, including debt listing, meeting intimations and other applicable disclosures under SEBI LODR, SEBI NCS Regulations, Companies Act and as per the terms with the Debenture Trustee(s).

3.       Website and newspaper compliances as per SEBI LODR for the debt listed company and other companies as applicable.

4.       Co-ordinating and liaising with various personnel at BSE, Depository and RTA for procedural aspect of listing, dematerialization and various corporate actions.

5.       Preparation of documents and filings for ISIN and Corporate Actions.

6.       Preparation of various resolutions, Notice of Board Meeting, Agenda, and Minutes.

7.       Preparation of Notice of EGM / AGM, Minutes of AGM / EGM and related other compliances of shareholders meeting.

8.       Raising of funds in debt listed as well as unlisted company.

9.       Incorporation of Companies / LLPs.

10.   Dematerialization of shares/ debentures.

11.   Advising the Finance/ Fundraising team with compliance timelines for fundraising for debt-listed and unlisted companies.

12.   Asset ID creation and linkage for secured listed Debentures with Depositories.

13.   Develop and oversee mandatory policies of the debt listed entity.

14.   Preparation and filing of various MCA e-forms while ensuring timely disclosures as applicable.

15.   Preparation of Annual filing documents and General Meeting packs.

16.   Vetting of documents from external/ internal legal consultants/ team on assignments related to fundraising, service/ consultancy agreements etc

17.   Reviewing and tracking of Related Party transactions, borrowing limits, qualification of Directors and auditors and other threshold limits in the Companies.

18.   Assisting and providing details during periodic Due diligence of Companies.

19.   Procuring of various compliance reports from practicing professionals as required.

20.   Preparation of budgets related to secretarial matters and coordination with the respective departments to ensure timely follow-up and processing of payments.

1.            Well versed with NSDL and/ or CDSL service portal for ISIN and corporate action

2.            Versed with Structural Digital Database and operation of related software

3.            Working knowledge of EBP Platform for bid setup with respect to fundraising through bonds/ debentures issuance.

4.            Comprehensive knowledge for reading and understanding of Financial Statements.
