Job Description:

Professional Experience & Key Responsibilities

  • Drafting and finalization of Minutes, Resolutions (including Circular Resolutions), and requisite annexures/papers for Board, Committee, and General Meetings.
  • Preparation and circulation of Agenda and Notes for Board, Committee, and General Meetings.
  • Handling quarterly listing compliances, including:
    • Regulation 31
    • Regulation 27
    • Regulation 13(3)
    • Regulation 33 under SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015
    • Quarterly disclosures pursuant to Clause 55A of SEBI (Depositories and Participants) Regulations, 2003
  • Managing RBI compliances for NBFCs and SEBI compliances under Merchant Bankers Regulations.
  • Ensuring compliance with SEBI (LODR) Regulations, 2015 and other applicable regulatory frameworks.
  • Well-versed with SEBI (Takeover) Regulations and Insider Trading Regulations.
  • Preparation and filing of forms and returns (including annual and event-based forms) with ROC for group companies.
  • Maintenance and updating of statutory registers of the company.
  • Preparation of Annual Reports through compilation and consolidation of various reports and data.
  • Handling correspondence with regulatory authorities such as RBI, SEBI, Stock Exchanges, Registrar & Share Transfer Agents, Banks, and NHB.
  • Assisting in corporate restructuring and fundraising activities in compliance with SEBI regulations and the Companies Act.
  • Incorporation of companies (Private, Public, Section 8) and Limited Liability Partnerships (LLPs).
  • Preparation and filing of LLP-related transaction forms.
  • Managing compliance requirements for unlisted group companies.
  • Familiarity with regulatory portals and websites such as MCA, SEBI, RBI, BSE, NSE, etc.
