multiple units at multiple Locations and high value cases.
Job Description:
1.
Handling / supervising all secretarial matters
i.e. holding Board/committee/shareholders’ meetings, corporate governance,
listing norms, SEBI, RBI, stock exchange regulations. Maintaining all
secretarial records including filing on MCA, dealing with ROC, RD, compounding
of offences under company Law.
2.
Handling all civil legal matters such as
arbitration cases, 138 cases under N. I. Act, recovery suits. Drafting and
vetting of Agreements, MOU, Legal Notices, Written Statements, Writ Petitions,
Appeals, Case Papers, Affidavits, etc. for legal proceedings under various
statutory laws and NCLT/NCLAT.
3.
Coordination with Legal Counsels and
Government Officials thereafter initiating and follow-ups on legal procedures;
finalizing various legal drafts & matters related to court litigation and
legal due diligences.
4. Handling disputes under Excise law,
Vat, GST at Commissioner, tribunal and High
Court
level.
5.
Handling
matters relating to corporate restructuring i.e. mergers, amalgamations,
restructuring, de-merger, take overs in NCLT/NCLAT and other appropriate forums.
