Key Responsibilities
1. Secretarial Compliance & Corporate Governance
- Ensure compliance with the Companies Act, 2013, SEBI Listing Regulations (LODR), and other applicable corporate laws.
- Manage all secretarial functions for the listed entity and its group companies.
- Ensure timely filing of statutory forms, returns, and disclosures with MCA, ROC, SEBI, and stock exchanges.
2. Board & Shareholder Meeting Management
- Organize and manage Board Meetings, Committee Meetings, AGMs, EGMs, and Postal Ballots.
- Draft, review, and circulate notices, agendas, resolutions, and detailed minutes in line with statutory timelines.
- Ensure proper maintenance of board and committee records and resolutions.
- Coordinate with directors and ensure compliance with governance and disclosure norms.
3. SEBI & Stock Exchange Compliance
- Ensure timely and accurate submission of quarterly, half-yearly, and annual disclosures to stock exchanges.
- Monitor and implement corporate governance practices as per SEBI (LODR) Regulations.
4. Annual Report & Audit Coordination
- Lead the preparation of the Annual Report, including Director’s Report, Corporate Governance Report, and Secretarial Audit Report.
- Collaborate with statutory, secretarial, and internal auditors for smooth and timely closure of audits and related compliances.
5. Stakeholder & Shareholder Relations
- Handle shareholder grievances, coordinate with the RTA (Registrar & Share Transfer Agent), and ensure timely redressal.
- Ensure compliance with investor protection norms and handle correspondence with regulatory bodies as required.
6. Strategic Governance Support
- Advise the Board and senior management on corporate governance matters and secretarial best practices.
- Maintain and enhance the group’s corporate governance framework in line with evolving regulations and standards.
Skills:
Desired Candidate Profile
- 15–20 years of experience in a similar capacity in listed companies, preferably in the manufacturing or industrial sector.
- Expert knowledge of Companies Act, SEBI LODR, Secretarial Standards (SS-1 & SS-2), and other regulatory frameworks.
- Strong command over drafting board materials and managing secretarial records.
- Excellent communication and interpersonal skills to engage with board members, auditors, and regulators.
- High level of integrity, confidentiality, and professionalism.
